Dr. Josef Berger, was elected to X-Digital's board of directors in July 2005. Dr. Berger Co-Founded Softier Inc. in 2002 and served as its President and CEO until 2005. Dr. Berger Founded Caly Networks in 1998 and served as Caly's President & CEO until 2002. Prior to founding CALY Networks in 1998, Dr. Berger served as Vice President of Strategic Sales at Netro Corporation (NTRO) a wireless access company. In 1988, Dr. Berger co-founded Harmonic Inc. and served on the Board of Directors. He also was Harmonic's Vice President of Engineering and Senior Vice President of International Operations. Harmonic Inc. (HLIT) is a publicly owned company specializing in fiber optic cable TV, digital video, and data systems for hybrid fiber coax and Satellite networks. From 1986 to 1988, Dr. Berger worked at Spectra Diode Laboratories (SDLI - sold to JDSU), a spin-off of Xerox Palo Alto Research Center (XPARC). Dr. Berger holds Eleven US and International patents. He has published more than 25 scientific papers in the field of optical communications, solid state and semiconductor lasers and holds a Doctorate in Physics from the Technion, in Israel.

Laurence A. Fish, Chief Technologist. Mr. Fish most recently served as Chief Scientist at StarGuide Digital Networks where he was a founder. In addition, Mr. Fish has been awarded numerous patents in the fields of satellite communications and store and forward delivery systems. Mr. Fish graduated in 1985 from the University of California San Diego with degrees in Computer Engineering and Economics.

Ian A. Lerner, President. Prior to co-founding the company Mr. Lerner served as Executive Vice President of StarGuide Digital Networks, where he was a co-founder. At StarGuide, Mr. Lerner led business development efforts which resulted in opening the Japanese Cable broadcast market for StarGuide. Over 1 million subscribers in Japan use the technology developed. Mr. Lerner was also heavily involved in securing business with the major networks of the US radio industry. Mr. Lerner is a registered co-inventor of over 10 U.S. Patents and 5 international Patents.Mr. Lerner holds degrees in Computer Engineering and Middle East Politics from UCSD.

Jose Rivero, Vice President of Network Technology/Business Development.
Prior to founding the company Mr. Rivero served as the Senior Director of
Internet and Networking Technologies at StarGuide Digital Networks (subsidiary
of DG Systems NASDAQ:DGIT). At StarGuide Mr. Rivero led network development,
test, and implementation efforts for multimedia delivery through hybrid
terrestrial and satellite networks. He holds various patents in the fields of satellite communications and data delivery. He received
a Masters degree in Computer Engineering from San Diego State University, San Diego in 1989.

Jim Esserman, has more than 25 years of experience in the fields of
digital video, access control and digital communications. Prior to Polycipher,
Jim was the vice president of Business Development for Broadband Innovations,
the director of High Media for ComStream Corporation and a staff engineer for
General Instrument's Videocipher division. Jim earned four degrees from Stanford
University, including two master's degrees (Electrical Engineering and
Operations Research) and two bachelor's (Mathematical Sciences and Psychology,
both with distinction). He holds 12 patents in the fields of video compression,
security of microprocessors, pay TV systems and digital transmission.

Fred Harris, holds the CUBIC Signal Processing Chair of the Communication
Systems and Signal Processing Institute at San Diego State University where
since 1967 he has taught courses in Digital Signal Processing and Communication
Systems. He holds a number of patents on digital receiver and DSP technology and
lecture throughout the world on DSP applications. Fred has written over 140
journal and conference papers, the most well known being his 1978 paper “On the
use of Windows for Harmonic Analysis with the Discrete Fourier Transform”. He is
the author of the book “Multirate Signal Processing for Communication Systems”
and has contributed to a number of other books on DSP applications including the
Source Coding chapter in Bernard Sklar’s 1988 book, Digital Communications and
the Multirate FIR Filters for Interpolation and Resampling and the Time Domain
Signal Processing with the DFT chapters in Doug Elliot’s 1987 book Handbook of
Digital Signal Processing.

Anton Monk. Dr. Monk has over 15 years of experience in communication
systems research and development. He is responsible for new technology, standards
activities and patents at Entropic. Previously, he led the engineering development
of Entropic's coax-based multimedia networking chipset development. Prior to
co-founding Entropic, he led physical layer system design and IC verification for several
Conexant product lines, including cable modems and fixed wireless access.
He was also responsible for standards development in these areas and for business
development and partnering in the fixed wireless arena. Before Conexant, Dr. Monk
was involved in the development of cable and satellite ICs at ComStream Corporation,
and performed communication system research at the Jet Propulsion Laboratory, Pasadena, CA.
Dr. Monk holds a B.S. and Ph.D. in Electrical Engineering from the University of California, San Diego,
and a M.S. in Electrical Engineering from the California Institute of Technology.

Peter Percosan, has served as the director broadband strategy for
Texas Instruments cable broadband communications group since the acquisition
of Libit Signal Processing in 1999. In this role he provides strategic direction
that aligns Texas Instruments technology strengths with the needs of the Cable
industry. He is also responsible for identifying market trends and providing the
vision to the cable broadband group. Prior to this position, Percosan was the
vice president of strategy and business development at Libit Signal Process.
Percosan has also served as vice president of strategic marketing, at Lysis SA
and vice president of Engineering at Ariel Corporation. Percosan has presented on
the Cable Broadband topic at numerous technical seminars and holds several
Motorola patents.
